General Terms and Conditions (GTC) - Entrepreneurs (B2B)

A) Scope of application
1. These General Terms and Conditions (GTC) apply to all orders placed by entrepreneurs (§ 14 BGB) via our online store under the domain www.homestagingstore.com.
2. An entrepreneur within the meaning of these GTC is any natural or legal person or partnership with legal capacity that is acting in the exercise of its commercial or independent professional activity when concluding the legal transaction.
3. Deviating, conflicting or supplementary terms and conditions of the customer shall not apply unless their validity is expressly agreed in writing.
4. The content, designs, product models, photos, descriptions, sketches and other creative elements in the store are protected by copyright. Various product designs as well as utility and design patents may be registered with the German Patent and Trademark Office (DPMA) or applications for registration may be filed.
B) Conclusion of contract
1. The presentation of the products in the online store does not constitute a legally binding offer, but a non-binding invitation to place an order by the customer.
2 By clicking on the button "Order with obligation to pay", the customer submits a binding purchase offer.
3 The contract is only concluded upon receipt of our order confirmation in text form (e-mail).
4 We do not store the contract text permanently. However, customers can view the data of their order via their e-mail or any existing customer account.
C) Prices, shipping costs and terms of payment
1. All prices stated in the online store are net, plus statutory VAT and any shipping and packaging costs.
2. In addition to the product prices, the shipping costs shown in the order process will be charged.
3. the available payment methods are displayed during the ordering process.
4. we reserve the right to exclude or adjust individual payment methods.
5. refunds will always be made via the payment method originally used.
D) Delivery and availability of goods
1. the delivery time is indicated on the respective product page. In the event of different delivery times in an order, the longest delivery time specified shall apply.
2 Delivery shall be made to the delivery address specified by the customer. The customer is responsible for the accuracy and completeness of their details.
3. If a product is permanently unavailable, we reserve the right not to accept the customer's offer. The customer will be informed immediately.
4. If part of the order is not available, we reserve the right to make partial deliveries, provided this is reasonable for the customer. There are no additional shipping costs.
E) Right of withdrawal
There is no statutory right of withdrawal for entrepreneurs. Goods shall only be taken back on a voluntary basis following prior written agreement.
F) Retention of title
1. The delivered goods shall remain our property until all goods have been paid for in full.
2. The customer is obliged to treat the goods with care as long as ownership has not yet been transferred.
G) Liability for defects (warranty)
1. The statutory warranty rights pursuant to Sections 434 et seq. The limitation period for claims for material defects and defects of title is twelve months from delivery of the goods.
3. The customer must inspect the goods immediately after delivery in accordance with Section 377 of the German Commercial Code (HGB) and report any recognizable defects in writing within seven calendar days of receipt at the latest; otherwise the goods shall be deemed approved.
4. In the event of a defect, the customer may demand subsequent performance (repair or replacement delivery). If this fails, the customer may reduce the price or withdraw from the contract.
5. Damage caused by improper use, incorrect assembly, natural wear and tear or external influences shall not constitute defects.
H) Liability
1. We shall be liable without limitation for damages resulting from intent or gross negligence, injury to life, limb or health, claims under the Product Liability Act and for guarantees assumed.
2. In the event of a slightly negligent breach of material contractual obligations, liability shall be limited to the foreseeable damage typical for the contract. Essential contractual obligations are those whose fulfillment enables the proper execution of the contract.
3. our liability is excluded in the event of a slightly negligent breach of non-essential contractual obligations.
4. the above limitations of liability also apply to our legal representatives and vicarious agents.
I) Data protection
1. the processing of personal data is carried out in accordance with the GDPR and the Federal Data Protection Act.
2. In the context of contract processing, we transmit personal data to payment and shipping service providers.
3. Further information can be found in our privacy policy.
J) Place of jurisdiction and applicable law
1. the law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
2. the exclusive place of jurisdiction for all disputes arising from or in connection with this contract is Hildesheim.
K) Protection of intellectual property
1. all content, product designs, photos, layouts, descriptions and models are subject to copyright, design law, trademark law or other property rights.
2. designs, aesthetic designs and technical ideas may be registered with the DPMA or applied for registration.
3. any duplication, imitation, commercial use or other exploitation of our work without express written consent is prohibited.
4. We reserve the right to take legal action against those responsible in the event of infringements of our property rights.
5. Customers are obliged to respect our property rights and to refrain from any unauthorized use.
